Agreement for the use of the site and software

This Agreement is a public offer of the Limited Liability Company “Letteros”, as defined in Art. 437 of the Civil Code of the Russian Federation, and determines the conditions for the use of materials, services and software posted on the Internet site at the address: www.letteros.com, by visitors and users of this Internet site (hereinafter referred to as the Site). The public offer is addressed to individuals and legal entities engaged in business activities, regardless of their legal form.

1. General provisions and terms

1.1. Site – a set of web pages located on the Internet, united by a single theme, design and a single address space of the domain www.letteros.com, containing materials, articles, databases, services and software created and/or used by the Site Administration that allow you to use the listed information resources, located on the Internet at the network address www.letteros.com.
1.2. Software (software) – software, part of programs, procedures, rules located on the website www.letteros.com, with the use of which electronic messages (e-mail) are created.

1.3. Site Administration (Administration, Licensor) – Limited Liability Company “Letteros”, created and registered in accordance with the legislation of the Russian Federation at the address: 195027, St. Petersburg, Yakornaya st., 13 litera a, room/ext. room 8 -n/16 office 409, TIN 7806587362, OGRN 1217800087075.
1.4. User (Licensee) – a person with legal and legal capacity who has joined this User Agreement and, in accordance with the Rules for using the Site, has received the basis for its use, including the use of software, when carrying out business activities.
1.5. Registration on the site is a voluntary procedure on the part of the User, which consists of supplementing the User database with information about the new User, and granting the new User the right to use the Site. Registration is carried out in accordance with this Agreement and the Rules for using the Site in several stages and includes: provision by the User of reliable information about himself, formation of a personal login and password, with the help of which authorization on the Site and use of the Site is carried out, confirmation of the User’s email address.
1.6. Authorization on the Site is a procedure by which the User identifies himself with each new entrance to the Site using his login and password chosen by the User when registering on the Site. Only after authorization the User gains access to the Site, while the login and password are considered necessary and sufficient information for the User to access the Site. Unless proven otherwise by the User, any actions performed on the Site using his login and password are considered to have been performed by the corresponding User.
1.7. Personal Account – a virtual personal account of the User, located on the Administration servers and located on the Site, access to which is carried out after authorization (entering a username and password known only to the User) via the HTTPS data exchange protocol, and within which the Parties exchange legally and technically significant information relating to the execution of this Agreement.
1.8. Use of the Site is the paid use of the Site and Software permitted by this Agreement by the User for their functional purpose, with access rights defined by the terms of this Agreement, including loading Site pages, adding information (data) to the Site, downloading information and documents from the Site, and other actions with the Site and Software. The User confirms that he will use the Site solely on the terms of this Agreement, as well as exclusively for business purposes, without the right to use the Site to satisfy personal, family, household, and other needs not related to business activities.
1.9. Accession to this Agreement is a procedure which includes acceptance of the terms of this Agreement and completion of the registration procedure on the Site. Registration on the Site is considered an action expressing the User’s unconditional consent to enter into an Agreement on these terms, as well as the User’s consent to consider himself to have entered into this Agreement.
1.10. Information on the Site (Information) – any information posted on the Site, including information (messages, data) regardless of the form of their presentation, results of intellectual activity, as well as other data (materials, articles, databases, services and programs, design page scripts, applications, site program code, content, tables, templates, documents, site design, etc.), in accordance with the legislation of the Russian Federation. The use of information on the Site by any means is permitted only subject to the restrictions established by the current legislation of the Russian Federation, this Agreement and the Rules for using the Site.

1.11. Letter – html code of a letter for email distribution, created by the User using the software.

1.12. Tariff – the volume of rights of use and services provided to the User for a certain fee.

2. Subject of the user agreement
2.1. Under this Agreement, the Administration undertakes to provide the User, for a fee, with a non-exclusive right to use the Site and Software posted on the Site, in accordance with the terms of this Agreement and the rules for using the Site, and the User undertakes to pay for the use of the Site and Software in the manner, amount and in terms established by the Agreement. The amount of fees for using the Site and software is determined by the tariffs established by the Administration and posted on the Site at https://letteros.com/pricing/.
2.2. The Site and the Software posted on the Site are used to create html code (layout) for letters without knowledge of html/css programming languages. The software is a designer of html letters. The number of letters created is determined in accordance with the tariff chosen by the User and established by the Administration.
2.3. Use of the Site and Software for the purpose of creating Letters is provided to the User after he registers on the Site by creating the User’s personal account and providing the User with a personal login and password.
2.4 The start page of the Site, through which all other web pages of the Site can be accessed, is posted on the Internet at www.letteros.com.
2.5. The User independently, at his own expense, provides technical conditions and means for access to the Site, which means that the User has an Internet connection and a technical device with software installed on it, with the help of which the User can search and use information on the Internet. The Administration is not responsible for the availability of the specified technical conditions by the User.
2.6. This agreement is not limited to the territory of use. The User can use the Site regardless of location, if the technical conditions he has allow him to access the Site.
2.7. The right to use the Site is granted to the User, while the Administration retains the right to provide use of the Site to other Users.
2.8. This Agreement is a contract of adhesion in the sense of Art. 428 Civil Code of the Russian Federation. Accession to the Agreement is carried out by accepting the public offer, as defined in Art. 437 Civil Code of the Russian Federation. This Agreement in accordance with clause 2 of Art. 437 of the Civil Code of the Russian Federation is a public offer and is addressed to an unlimited number of persons engaged in business activities. Acceptance is considered to be the User completing the registration procedure on the Site.
2.9. The User can use the functionality of his account on the Site, search on the Site and retrieve the necessary information, enter information, its subsequent use in any form and in any way in accordance with the legislation of the Russian Federation and the Site Rules, as well as participate in any forms of activity on the Site organized by The site administration, including rating the posted information, discuss articles and materials posted by other Users, participate in other forms of User activity on the Site, and also post information on the Site.
2.10. The Site and Software are the result of intellectual activity, the right to use the Site and Software is provided on an “as is” basis (AS IS). The Administration disclaims any guarantees that the Site and Software are suitable or not suitable for any specific purposes of use. The administration is not responsible for the occurrence or non-occurrence of any results from using the Site and software. The Administration is not responsible for problems that arise during the process of accessing, updating, supporting and operating the Software (including problems of compatibility with other software products (packages, drivers, etc.), discrepancies between the results of using the Software and the User’s expectations, etc.). By accepting this Agreement, the User confirms that he bears full responsibility for possible negative consequences caused by incompatibility or conflicts of the software with other software products installed on the User’s computer. The software is not intended and cannot be used in information systems operating in hazardous environments, or servicing life support systems, in which a failure in the software may pose a threat to human life or cause large material losses.
2.11. Any actions of the User on the site must be carried out in accordance with the legislation of the Russian Federation and not violate the rights and legitimate interests of third parties, society, and the state. By accepting this Agreement in the form established by clause 2.8 of the Agreement, the User provides the Administration with assurances and guarantees that:— The User is familiar with the terms of this Agreement, the terms of the Agreement are clear to the User and are accepted by him without objection;— The User is familiar with the Administration’s tariffs in force on the Site ;— The User guarantees to the Administration compliance with the requirements of current legislation, including the current provisions of the Federal Law “On Information, Information Technologies and Information Protection” dated July 27, 2006 N 149-FZ, Federal Law “On Advertising” dated March 13, 2006 No. 38-FZ; — The User is aware that the exclusive rights to the Site and Software are protected by copyright, and therefore the User undertakes that neither he himself nor any other persons, with the assistance of the User, will copy or modify the software; create programs derived from the software; penetrate software in order to obtain program codes; sell, assign, lease, transfer to third parties in any other form of rights in relation to the Site software provided to the User under this Agreement, and also not modify the services posted on the Site, including for the purpose of gaining unauthorized access to them.

3. Procedure for using the site and software
3.1. After registering the User on the Site, the Administration provides the User with access (login and password) to the Personal Account, as well as the opportunity to use the Software to create html code of Letters without knowledge of html/css programming languages to the extent corresponding to the tariff chosen by the User.
3.2. Depending on the chosen tariff, the User independently generates the contents of the Letter through the Personal Account.
3.3. The result of the software is the html code of the Letter.
3.4. The mode of operation and operation of the Site and Personal Account is 24/7, every day, with no interruptions, except for cases related to the Site Administration carrying out preventive and/or other technical work related to the support and maintenance of the Site.
3.5. The organization and implementation of planned preventive and/or other planned technical work is carried out by the Site Administration at its own discretion, taking into account the period and time of day that have minimum indicators of economic (business) activity, mainly on non-working days and/or outside the standard working day established on the territory Russian Federation. The Site Administration notifies Users of scheduled technical events by posting relevant information about the date and time of these events on the Site and by sending email messages to Users no later than two days before the date and time of the event. This procedure does not apply to cases of emergency technical work caused by malfunctions of the Site or Software, which must be corrected immediately upon discovery.
3.6. Technical support and advice to the User regarding the use of the Site and software is provided via e-mail and other communication channels indicated on the Site on weekdays from 10 to 19 hours Moscow time.

4. Rights and obligations of the parties 4.1. User rights:
4.1.1. The User has the right to use the Site and software only within the limits of those rights and in the ways provided for by this Agreement and the rules for using the Site.
4.1.2. The content of Letters is determined by the User independently, respecting the rights of third parties, for which the User bears independent responsibility.
4.1.3. The user independently transfers and controls access rights to the Personal Account to his employees or authorized persons. These persons can gain access to the information contained in the User’s Personal Account by providing the User with a login and password for authorization on the Site.
4.1.4. The parties establish that the User himself bears responsibility for the content and use of information contained in the Personal Account, as well as responsibility for Letters generated by third parties to whom the User has granted access to the Personal Account.
4.1.5. The User has the right to post on his resources information that he uses the Letteros service to create Letters for newsletters for the entire term of the Agreement.

4.2. User Responsibilities:

4.2.1. Comply with the provisions of the current legislation of the Russian Federation, including in the field of dissemination of information and advertising, Rules for using the Site.
4.2.2. When registering on the Site, provide the Administration with the necessary reliable and up-to-date information, including a unique login (email address) and password for access to the Site for each User, as well as the email address, last name and first name of the User’s authorized person.
4.2.3. Do not download, store, publish, distribute or provide access to or otherwise use the intellectual property of other Users and third parties on the Site, unless the User has the legal rights to such use.
4.2.4. Do not post in your Personal Account and Letters information and objects that may violate the rights and legitimate interests of third parties, as well as information that: contains threats, discredits, insults, discredits honor and dignity or business reputation, or violates the privacy of other Users or third parties; – violates the rights of minors; – is vulgar or obscene, contains obscene language, contains pornographic images and texts or scenes of a sexual nature involving minors; – contains scenes of violence or inhumane treatment of animals; – contains a description of means and methods of suicide , any incitement to commit it; – promotes and/or contributes to the incitement of racial, religious, ethnic hatred or enmity, promotes fascism or the ideology of racial superiority; – contains extremist materials; – promotes criminal activity or contains advice, instructions or guidelines for committing criminal acts ,—contains restricted information, including, but not limited to, state and commercial secrets, information about the private lives of third parties;—contains advertising or describes the attractiveness of drug use;—is fraudulent in nature;—and also violates other rights and interests of citizens and legal entities, companies or requirements of the legislation of the Russian Federation
4.2.5. The User must independently monitor the safety of the access password to the Personal Account, as he is fully responsible for all actions that will be performed on his behalf after authorization on the Site. The User undertakes not to distribute or provide access to information on the Site and to the Personal Account to third parties who are not authorized persons of the User, and in the event that unauthorized third parties gain access to the Site and/or the User’s Personal Account through the fault of the latter, the User is obliged to immediately notify in this circumstance, the Site Administration in order to change the User’s login and password for authorization on the Site. In case of failure to comply with this condition, all risks of adverse consequences associated with the actions of unauthorized third parties using the Site, Software and the User’s Personal Account, the User is responsible both to the Administration and to other persons whose rights have been violated.
4.2.6. If the User does not agree with significant changes to the Rules of Use of the Site and the terms of the Agreement, the User is obliged to send a request to the Administration to terminate the Agreement in the manner prescribed in clause 7.3. of this Agreement no later than 5 (Five) days from the date of posting on the Site significant changes to the rules for using the Site and the terms of the Agreement.
4.2.7. Make timely and full payments for using the Site and Software in accordance with the tariff chosen by the User and the terms of this Agreement.

4.3. Administration Rights:
4.3.1. Unilaterally, out of court, change at your own discretion the rules for using the Site and the terms of this Agreement. Providing the Administration with the opportunity for Users to familiarize themselves with the new edition of the Rules for using the Site and the terms of this Agreement is carried out by publishing by the Administration a new edition of the Rules for using the Site and the Agreement on the Site (https://letteros.com/terms/). The site administration notifies Users by posting relevant information about the date and time of these events on the Site and in the form of sending electronic messages to Users no later than 30 (Thirty) calendar days before the date and change of this Agreement. Changes come into force from the date of posting on the Site. Continued use of the Site using the Personal Account will mean the User’s consent to the amended terms of the Agreement and/or Rules for Use of the Site.
4.3.2. Determine the content of the Site, software, information contained on the Site, services provided to the User.
4.3.3. Interrupt the operation of the Site for a time or terminate the operation of the Site at your own discretion, as well as in the event of receiving a notification from the authorized government body of the Russian Federation about the suspension or prohibition of the operation of the Site (part of the Site).
4.3.4. Restrict or prohibit (block), at its discretion, individual Users from using the Site in the event that such Users violate the terms of this Agreement or the Rules for Using the Site.
4.3.5. Place the logo of the User’s company on the Site in the “Our Clients” section throughout the term of the Agreement.


4.4. Responsibilities of the Administration:
4.4.1. Maintain the Site and software in working order.
4.4.2. Provide the User with access to the Personal Account after the User registers on the Site.
4.4.3. Take the necessary organizational and technical measures to protect Users’ confidential information, including personal data, from unauthorized and unlawful or accidental access to it by unauthorized persons for the purpose of changing, blocking, copying, distribution.
4.4.4. If the User’s personal data is provided in accordance with the requirements of the legislation of the Russian Federation, the provisions of this Agreement and the rules for using the Site, monitor the legality of their use.
4.4.5. Destroy the information received from the User in connection with the execution of this Agreement from all media without the possibility of its restoration or copying within 30 (Thirty) calendar days after termination of the Agreement and/or at the written request of the User.
4.4.6. Store confidential information received from the User, not disclose, publish and protect from access by third parties (except for cases provided for by the current legislation of the Russian Federation).
4.4.7. If it is impossible to access the Site and Software in the absence of violations of the terms of the Agreement and the Site Rules by the User, the Administration is obliged to return to the User all unspent funds received from the User as an advance payment. The return period is 5 (Five) working days from the date of receipt of the relevant written request of the User.
4.4.8. The Administration has the right to suspend the use of the Site and Software if the User violates the payment terms provided for in the Agreement and the tariff chosen by the User, until the User eliminates this violation in full. If the User is late in paying the invoice for more than 5 (five) calendar days, the Administration has the right to unilaterally, out of court, refuse to fulfill the Agreement and block the User’s access to the Site and Personal Account.

5. Cost and payment procedure

5.1. Payment for use of the Site and software is carried out by the User in accordance with the selected tariff posted on the Site at https://letteros.com/pricing/, in the manner and within the terms provided for in this Agreement.
5.2. Depending on the tariff chosen by the User, payment for use of the Site and Software is made by the User in the following order: – on the terms of full (100%) prepayment in accordance with the selected tariff and on the basis of an invoice issued by the Administration for payment; – on the terms of deferred payment in the amount of 20 ( twenty) working days from the end of the reporting period for using the Site, which is recognized as 1 (One) calendar month or upon reaching the appropriate volume of messages.
5.3. The amount of the User’s payment obligation is determined by the tariffs established by the Administration and the invoices issued for payment.
5.4. All mutual settlements under the Agreement are carried out by the Parties in Russian rubles, non-cash, by transferring funds to the Administration’s current account specified in the invoice for payment, or through the Robokassa payment system posted on the Website robokassa.com.
5.5. The obligation to pay is considered fulfilled by the User from the date of crediting of funds to the correspondent account of the Administration bank.
5.6. The cost of using the Site and software is not subject to VAT on the basis of clause 3 of Art. 346.12 of the Tax Code of the Russian Federation in connection with the Administration’s use of a simplified taxation system.
5.7. In the event of termination of the Agreement unilaterally out of court at the initiative of any of the Parties in the absence of violations of the terms of the Agreement on the part of the User, the latter has the right at any time to demand the return of the unused balance of funds transferred to the Administration and not subject to payment as remuneration to the Administration or withholding as a penalty for violation of the terms of the Agreement. In this case, the Administration is obliged to return the specified funds within 5 (Five) business days from the date of receipt of the User’s written request. The return is carried out by bank transfer using the User’s bank details specified in the relevant requirement.
5.8. Execution of an acceptance certificate for the services provided, provided that the parties comply with the obligations established by this Agreement, the Rules for using the Site, as well as the invoice agreement, is not required. At the User’s request, a certificate of services provided can be drawn up and sent by the Administration. In this case, the User is obliged to sign and send the original act of services rendered to the Administration within a period not exceeding 30 calendar days from the date of its execution.

6. Responsibility of the parties to the agreement
6.1. The parties to this Agreement bear responsibility in accordance with the current legislation of the Russian Federation.
6.2. The user is fully responsible for the content and use of any information posted by him in his Personal Account and Letters.
6.3. The Administration’s liability to the User under this Agreement is limited to the amount of payment for using the Site and software according to the tariff chosen by the User, except for the cases provided for in clause 4.4.7 of the Agreement.
6.4. If the User fails to fulfill the obligation to pay the invoice issued by the Administration if there are facts confirming the User’s use of the Site and Software, the Administration has the right to file a lawsuit to recover from the User the amount of payment indicated in the corresponding invoice. Jurisdiction is determined by the location of the Administration.
6.5. In the event of significant violations by the User of the terms of this Agreement and the Rules for Use of the Site, resulting in the blocking of the User and deletion of his Personal Account, the funds received from the User are retained by the Administration as a fine for violating the terms of the Agreement. By accepting this Agreement, the User agrees to the Administration applying the specified penalties to him.

7. Duration and termination of the agreement
7.1. This Agreement comes into force for the User from the date of joining the Agreement by accepting the public offer upon registration on the Site.
7.2. The User has the right to terminate the Agreement unilaterally out of court by sending a corresponding notification to the Administration via an email from the mailbox specified by the User when registering on the Site. The letter must indicate the full name of the User, his details, reasons for termination of the Agreement and a proposal to consider the Agreement terminated. From the moment of receipt of such a letter, the Agreement is considered terminated. If it is impossible to send a letter from the mailbox that was specified during registration, the User may send such notice of termination of the License Agreement via the internal messaging system on the website to Technical Support.
7.3. The Administration has the right to unilaterally, out of court, terminate the Agreement with the User if the latter violates its terms or the Rules for Use of the Site or Software. Termination of the Agreement is the following actions: sending to the email address specified by the User during registration, a letter with the reasons for termination of the Agreement and deleting the User’s Personal Account (or blocking the User’s Personal Account at the choice of the Site Administration.
7.4. In the event that, according to the terms of the Agreement or the law, the User has the right to terminate the Agreement in court, he must first send a request for termination to the Administration at its legal address. The request for termination of the Agreement can be submitted by the User to the court only after receiving a refusal from the Administration to terminate the Agreement or failure to receive a response from the Administration within thirty days.
7.5. Recognition by the court the invalidity or unenforceability of any provision of the Agreement does not entail the invalidity of other provisions of the Agreement.8. Final provisions
8.1. In everything that is not provided for in this Agreement, the Parties are guided by the current legislation of the Russian Federation. In the event of any disputes or disagreements related to this Agreement, the Parties will make every effort to resolve them through negotiations between them. If disputes are not resolved through negotiations, disputes shall be resolved in the manner established by the current legislation of the Russian Federation in court at the location (address) of the Administration.
8.2. The User, by joining this Agreement, agrees to receive notifications on mobile phones and other devices on the subject of the Site, both on the Site and in the form of mail, e-mail or messages. In addition, the User consents to the Administration’s processing of his personal data provided during registration, as well as voluntarily posted on the Site, as specified in the federal law “On Personal Data”. The processing of personal data is carried out by the Administration for the purpose of concluding and executing the Agreement, including for the purpose of receiving personalized (targeted) advertising by the Administration, checking, researching and analyzing such data, allowing to maintain and improve services and sections of the Site, as well as develop new services and sections of the Site , to select Site Users according to various criteria for conducting surveys and research on various topics.
8.3. No provisions of this Agreement grant the User the right to use the company name, trademarks, domain names and other distinctive signs of the Administration and/or the copyright holder.
8.4. Inaction on the part of the Site Administration in the event of a violation by any of the Users of the provisions of the Agreement does not deprive the Site Administration of the right to later take appropriate actions to protect its interests and protect copyrights on Site materials protected in accordance with the law.
8.5. All correspondence between the Parties in pursuance of the Agreement, as well as the exchange of scanned copies of documents carried out through the email addresses specified during registration on the Site and/or posted on the Site, has the legal force of original documents and can be evidence in court.
